1. About Espera X and AITAC

Espera X is a brand operated by AITAC d.o.o., a company registered in Croatia, with its headquarters in Kastav. All contracts for services offered via the Espera X brand are entered into with AITAC d.o.o. or other companies within the AITAC Group, including AITAC GmbH (Germany) and AITAC S.A.S. (France).

2. Scope of These Terms

These Terms apply to your access and use of the Espera X website, and to any services offered or promoted through this site. Specific service engagements will be governed by an individual Offer and Contract, incorporating AITAC's General Business Terms, unless otherwise agreed in writing.

3. Service Offers and Contracts

3.1. All services are offered based on formal written Offers issued by AITAC and accepted by the Client. A binding contract arises when the Client accepts the Offer, whether in writing, by conduct, or electronically.

3.2. Unless otherwise agreed, Offers remain valid for 15 days from the date of issue.

3.3. All service prices are exclusive of VAT and may exclude additional costs such as travel, materials, or equipment unless expressly stated.

4. Payments and Billing

4.1. Services are invoiced according to the accepted Offer. Invoices are payable within the deadline specified in the Offer, or within 30 days if no deadline is stated.

4.2. AITAC reserves the right to charge legal interest for overdue payments.

4.3. AITAC may suspend or withhold services if advance payments or prior debts remain unpaid.

5. Service Quality

AITAC delivers services with due professional care and in accordance with industry standards. AITAC is ISO 9001:2015 certified in project management, technical consulting, and maritime design.

6. Intellectual Property

6.1. All deliverables, designs, plans, and intellectual property developed by AITAC during a service engagement remain the property of AITAC, unless otherwise agreed in a separate written contract.

6.2. Clients may not reproduce, modify, or distribute such materials without written consent from AITAC.

7. Confidentiality

7.1. Both AITAC and the Client agree to maintain confidentiality regarding any proprietary or sensitive information exchanged during the course of the business relationship.

7.2. This obligation survives termination of the contract or business relationship.

8. Liability

8.1. AITAC's liability for any claims arising under or in connection with its services is limited to €500,000, in line with its professional liability insurance coverage.

8.2. AITAC shall not be liable for delays or failures caused by force majeure or circumstances beyond its control.

9. Force Majeure

AITAC shall not be held liable for delays or non-performance due to circumstances such as natural disasters, war, pandemics, strikes, or government restrictions. In such events, affected parties must notify the other party within 48 hours and take reasonable steps to mitigate impact.

10. Changes to Services

Any changes to the scope, price, or timing of contracted services must be agreed upon in writing. AITAC reserves the right to revise fees where service specifications are modified after contract formation.

11. Termination

AITAC reserves the right to suspend or terminate service delivery or cancel contracts if the Client fails to provide necessary information, does not comply with agreed payment terms, or fails to provide required payment guarantees.

12. Jurisdiction and Governing Law

These Terms, and any service contracts entered into via the Espera X platform, are governed by the laws of the Republic of Croatia. The courts of Rijeka, Croatia, shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.

13. Use of the Website

13.1. All content on this website, including text, graphics, logos, and images, is the intellectual property of AITAC and may not be copied or used without permission.

13.2. You may not use this website in any way that may damage or impair its availability or integrity.

14. Privacy

Use of the Espera X website is also governed by our Privacy Policy, which outlines how we collect, store, and process personal data.
